120 days time gap between two board meetings.

Suppose the company did not conduct a BM within 120 days, what is the remedy and consequence? Is there any penalty or can they go for compounding? There was a delay of 8 days in holding the meeting
 

P.S.  - Meanwhile meetings of committee of board of directors have been held in between. Will it make any difference?

Penalty arise under section 173 (3) & (4 ) of Rs. 25K every officer who is liable to sent BOD meeting notice

Second Clear Committee of Board whether it's audit committee or any other committee
