Promoters, directors, etc., to co-operate with Company Liquidator.284. (1) The promoters, directors, officers and employees, who are or have been in employment of the company or acting or associated with the company shall extend full co-operation to the Company Liquidator in discharge of his functions and duties.[(2) If any person required to assist or cooperate with the Company Liquidator under sub-section (1) does not assist or cooperate, the Company Liquidator may make an application to the Tribunal for necessary directions.(3) On receiving an application under sub-section (2), the Tribunal shall, by an order, direct the person required to assist or co-operate with the Company Liquidator to comply with the instructions of the Company Liquidator and to co-operate with him in discharging his functions and duties.]

13a. Sub-sections (2) and (3) substituted for sub-section (2) by the Companies (Amendment) Act, 2020, with effect from a date yet to be notified. Prior to its substitution, sub-section (2) read as under :"(2) Where any person, without reasonable cause, fails to discharge his obligations under sub-section (1), he shall be punishable with imprisonment which may extend to six months or with fine which may extend to fifty thousand rupees, or with both."
