What is the process for voluntary winding-up of a 5-year old Active, Compliant Private Limited Company with no creditors, no assets and no business in the last 1 year. GST registration was surrendered 1 year ago. All ROC and IT Returns have been duly filed till date. DPT-3 and all other compliances have also been taken care of.

Since your company is "active and compliant" but currently has no assets, no creditors, and no business operations, you should pursue the Strike-off route (Form STK-2). It is the standard procedure for closing a dormant entity that has already cleared its statutory filings. Consult a Company Secretary (CS) or Chartered Accountant (CA) to assist with the preparation of the indemnity bond and the CA-certified statement of accounts to ensure the application is processed without objection from the Registrar.
