Can any one let me know whether a company secretary in employment as a whole time cs in a pvt ltd company be appointed as a non executive director in other listed company??
if yes can the comapny in which he/she is working stop him from being a director in the other company?

You could have mentioned paid up capital of your company, to find out your company secretary fall under key managerial person as per section 203 of the Act.
In both cases he can be appointed as non executive director of listed company, if he is key managerial person, it should be with permission of your board of Directors
