Shares of unlisted private company are being transferred from a non-resident to another non-resident.
What are the processed to be followed ? and, precautions to be taken ?

you should look into following 4 acts
1. FEMA - rbi permission required but no specific reporting requirement
2. Companies Act - normal sh 4 to be executed
3. Stamp Act - stamp as per roc to be paid
4. Income tax act - no Income tax on CG.
