Suggestion needed on Compounding

If the Private Limited Company has done its annual filing well within the due date but have delayed in holding the AGM with the due date. then does it require to go for voluntary compounding or should the Company wait for any intimation from ROC. just need the suggestion.

Holding an AGM after the due date is a violation of Section 96 of the Companies Act, 2013, punishable under Section 99. Filing your annual returns does not resolve this default; you should hold the delayed AGM immediately and proactively apply for compounding under Section 441 to avoid escalating penalties and future legal complications.
