you can register the company as a regular company. No additional procedure. Ensure a special resolution is passed to float a subsidiary companies or else as per AOA & MOA you can proceed with resolution.

Is it possible that that holding company hold 100% and directors hold 0% ?
yes it is possible. there is no such regulation that directors should hold.
