Pl give the procedure for change of name in share certficates and the resolution passing the same

Issue of Share Certificates. (Make the changes accordingly)
The Chairman informed the Board about the Share Certificates for …………. equity shares of Rs. ……… each and ……………, 4% Convertible Redeemable Cumulative Preference shares of Rs. …………. each, that were originally held by individual shareholders under the Company name “…………….. Private Limited”.
Post the acquisition of the Company by ‘……………...,’ all the Equity Shares and Preference Shares were transferred to ………………….., In 2003 the name of the Company was changed from ‘…………………’ to ‘…………………. Private Limited’. Currently the shares are held by ……………………., the share certificates are still under the Company name ‘……………………..’.
After a detailed discussion, the Board decided that the Share Certificates issued for …………. equity shares of Rs.…….. each and …………….., 4% Convertible Redeemable Cumulative Preference shares of Rs. ………… each, all in the name of ……………., be re issued bearing the revised name of the Company, i.e ‘…………….. Private Limited’. The following resolution was passed in this regard:
“RESOLVED THAT the consent of the Board of Directors of the company be and is hereby accorded for the issue of new share certificates under the name “…………. Private Limited” for …………. equity shares of Rs. ………. each (Distinctive Nos from ……….. to ……………..) and …………….., 4% Convertible Redeemable Cumulative Preference shares of Rs. ……. each (Distinctive Nos from …. to ……………) held by M/s ……………. Limited under the Company name ‘…………………… in lieu of the earlier share certificates”.
“RESOLVED FURTHER THAT the share certificate(s), as aforesaid be issued to the share holder under the common seal of the Company and any two of the Directors and Mr. Binoy Chacko, is hereby authorised to sign the Share Certificates”.
