Issue: Validity of an agreement to purchase shares by one shareholder from another shareholder in closely held company, at a fixed price on a future date.

What are the legal procedures to be complied with to make the agreement to be validated at a court of law.

Kindly seek the advise of a Practising Company Secretary. He is the right person to guide you. Drafting of Share Purchase Agreement should be done carefully. Also you have to comply with the provisions of the Companies Act, 2013.
