Dear Friends,
Can anyone clarify whether for section 269 and 383 the paid up capital also includes preference share capital?
My company is a Pvt co which is subsidiary of a public co. so the above two section do apply but the co has equity capital 3 crs and pref capital 9 Crs. Whether I need to appoint a MD & CS?
Kindly help me out urgently.

I think YES! you need to appoint an MD because the provisions are equally applicable to a private company which is a subsidiary of a public company
