Section 187c bm/br is required?

Dear Members,

Please advice on the following problem:-

 

In case of filing of Form I and II under sub sec 1 and 2 or 3 of the Section 187C of the Companies Act, 1956, whether it is reuired to show change or transfer of nominee sharholding from one person to another in the Board Meeting or this may be put out of the preview of the Board Meeting.

 

If the transfer is shown to Board Meeting and resolution is passed, then it would be a good compliance or just unnecessarry procedure only???

 

Your advice is valuable to me.

there is no need to take the approval of Board for section 187C , but in a good practise you can put this matter before the Board but you can also take noting for this transaction in the next board meeting.
