Rsolution for adoption of annual accounts for the fy 2013-14

Dear all,

I understand that Company is required to file form MGT -14 for approval annual accounts & Board Report.

However , MCA has specifically clarified that Companies Act 2013, is applicable from the FY 2014-15 .

In such scenarion do we need to submit the MGT 14 for approval of annual Accounts for the FY 2013-14.

Now, while approving the annual Accounts & Directros report for FY 2013-14, which section needs to be refer, section 215 of Companies Act 1956 or Section 134 of the new Companies Act 2014.

Please let me know at the earliest

For approving the accounts for FY 2013-14, it will be sec 215 of the CA 1956, as clarified by MCA.........however, you are reqd to file MGT 14 for this as per sec117 read with 179 and relevant rules.....

There is no doubt about the fact that you have to file copy of Board resolution passed for adoption of accounts in form MGT.14.

Section 117 is applicable now and filing of form MGT.14 is governed by section 117. MCA General Circular No. 08/2014 has no applicability as far as filing of form MGT.14 is concerned.

Dear Anil Kumar,

Approval concerning "Directors Report" also needs to be added in the resolution copy that you have attached? Kindly correct me if I am wrong.

Dear Gargi,

Sections117 and 179 of the Companies Act, 2013 have come into effect with 1.4.2014, as per those provision, you need to file extract of approval of accounts and director report by board in MGT 14 with ROC within 30 days from the date of board meeting.
