BOARD RESOLUTION FOR APPROVAL OF ACCOUNTS

For approving the accounts for FY 2013-14, it will be sec 215 of the CA 1956, as clarified by MCA.........however, you are reqd to file MGT 14 for this as per sec117 read with 179 and relevant rules.....
 

There is no doubt about the fact that you have to file copy of Board resolution passed for adoption of accounts in form MGT.14.

Section 117 is applicable now and filing of form MGT.14 is governed by section 117. MCA General Circular No. 08/2014 has no applicability as far as filing of form MGT.14 is concerned.

Approval concerning "Directors Report" also needs to be added in the resolution copy that you have attached? Kindly correct me if I am wrong.

Sections117 and 179 of the Companies Act, 2013 have come into effect with 1.4.2014, as per those provision, you need to file extract of approval of accounts and director report by board in MGT 14 with ROC within 30 days from the date of board meeting.
