1) When there is increase in authorised share capital
2) When there is issue of shares within friends
3) when there is change of name of the company
4) When company invests in various securities of BSE and NSE
increase in the authorise capital.
sec 94 permits to alter its share capital if authorise by articles by an ordinary resolution.
In order change its capital clause in MOA the requires authority in its AOA. but if article does not permit it ,the article must be first altered by a special resolution.
