1. Can remuneration be paid to directors in board meeting in a private Limited Company. (directors are not Md/Manager)

ya if any provision in article of assosiation then remuneration can be paid to directors of private company.
if its articles do not prohibits so.
The provision for payment of remuneration to Managing Director,whole Time director and sitting fees for board meeting to non executive director applys only to public companys only. Hence in private company we can pay Director remuneration to non executive director also.
