If a Pvt Co had its AGM on 30th Sept, 2011 and it changed its Company Secretary on 15th Oct, 2011. The company wants to file Annual Return on 20th Nov, 2011. Which Company Secretary should sign the Annual Return, the previous one or later one??

The signing of annual return by the Company Secretary (old or new) depends upon the date of signing of annual return.

As in ur case, if AR is signed on 20 oct 2011, it will be signed by new Company Secretary.

Thanks Sir for your reply. But if no date is mentioned then who should sign it???

The dating of annual return is compulsory. You cannot file annual return undated.

Agree with the views of CS Rajeev Kumar. On 20th November, new Company Secretary has to sign on the Annual Return because as on the date of filing he is the Company Secretary of the Company and date date of signing is also to be mentioned in the Form 20B.
