Query regarding Section 187 C

Hi,
 
There is a query regarding Section 187 C.
 
Mr.X was nominee of ABC limited.The Company had filed Form 22B with ROC for registration of beneficial ownership.
 
Now Mr. X shall now more be nominee of ABC Ltd and the shares shall directly be held in the name of the Company.
 
Now is the Company again required to File Form 22B or mere transfer will be sufficient.
 
If Form 22B is filed then what should be filled in columns for bebeficial owner and interest?

Form 22B is to be filed only at the time of registeration of the beneficial interest in the shares, hence in the case mentioned by you there is no need to file form 22B again. However, whenever there is a change in the beneficial interest in such shares, the beneficial owner shall, within thirty days from the date of such change, make a declaration to the company in such form prescribed under The Companies (Declaration of Beneficial Interest in Shares) Rules, 1975. The company shall again after making a note of such declaration in it's register of members file a return within thirty days with the Registrar in such prescribed form as mentioned under The Companies (Declaration of Beneficial Interest in Shares) Rules, 1975.
