Proxies are the person appointed by the company or member to attend or vote in the meeting on behalf of the member, proxies are entitled to Vote only through polling. a proxy must be intimated to the company before 48 hrs of commencement of the meeting, a proxy cannot rise or ask questions in the meeting, there can be one proxy for every 50 members of the company. if a company or any member default the section rules he maybe fined upto₹5000.
