If the company wants to shift the registered office from one place or the another, four situation arises:-

1). In case the  registered office is changed within local limits of the city, village or town by passing Board resolution 

     a). Hold Board Meeting and pass the resolution for the proposed change.

     b). File Form INC-22 within 30 days of passing of the resolution.

2). outside the local limits of the city, village or town within the same state and same ROC by passing special resolution

     a). Hold a Board Meeting and pass a resolution for proposed change, fixing date, time and venue of General Meeting.

     b).  Pass the special resolution in GM and file MGT-14 and INC-22 within 30 days of the resolution

3). outside the local limits of the city, village or town within the same state and but different ROC

 In addition to the step mentioned in point 2. The Company has to make an application to Regional director and file Form 23.

4). From one state to another- It has to be done by making a petition to the Central Government.
