Proecedure for close down of Joint Venture

Hello Friends,
Could anyone tell me the procedure to be followed for closure of Joint Venture in India?

Do u want to close the JVC or sell the shares to Indian Party. It is advised that both the Parties enter into a Share Sale Agreement along with the Termination agreement.
