Kindly appreciate each and every board or general resolution is not required to be registered with ROC through filing of Fome-23.

List of resolutions and agreement, required compulsory registration with ROC are given in Section 192(4). Resolutions and agreement covered in Section 192(4), are required to be registered with ROC within 30 days of passing them, through filing of Fome-23.

I f  my company is a private ltd...and have lot of retail outlets..then each agreement is required to be noted in resolution or what should be a good practice ...please clarify

I think it would be a Good Practice if you have all the Resolutions Done 

Please refer to Sec : 192(4) which Mr. Ankur has mentioned. You will have a Clear Idea on which to go for & which not to got for Filing Form 23.............
