Power of attorney notary/ stamp paper

please let me know the rules of notarisation of power of attorney:

1) In case the power of attorney is issued in favour of a person in Mumbai and the issuer is in another state. Where the document has to be notarised in Mumbai / Other State.

2) In case of a Company issuing power of attorney to its employee in Mumbai and the Company's registered office is at Tamilnadu?

Secondly if the power of attorney is issued in Mumbai and company's registered ofice is at another state say Tamilnadu, so in which state the stamp paper should be bought?

Kindly reply urgently.

Section 33. Power-of-attorney recognisable for purposes of section 32

Section 33 (1) For the purposes of section 32, the following powers-of-attorney shall alone be recognised, namely:-

(a) if the principal at the time of executing the power-of-attorney resides in any part of India in which this Act is for the time being in force, a power-of-attorney executed before and authenticated by the Registrar or Sub-Registrar within whose district or sub-district the principal resides;

(b) if the principal at the time aforesaid resides in any part of India in which this Act is not in force, a power-of-attorney executed before and authenticated by any Magistrate;
