pls provide resolution for alter the articals of association

give me reason for alteration in AOA....

our co is not listed , now want to be listed wid NSE or BSE. acoording to requirment of NSE and BSE, we need add some clouse in AOA

This required Special Resolution in the GM...

"RESOLVED that the article of association o the company be altered by adding following proviso at the end of article...... of the article of association of the company"

at ..... fill the last article of existing AOA and add new article as per your requirement....

thanx par its not enough for me i need proper resolution.....

If new set of AOA is adopted, then

“RESOLVED THAT pursuant to the provisions of section 31 of the Companies Act, 1956 the existing Articles of Association of the Company be and is hereby replaced by new set of the Articles of Association of the Company duly incorporating all the provisions of Public Company.”

If some of articles are altered, then

"RESOLVED THAT pursuant to the provisions of section 31 of the Companies Act, 1956, the Articles of Association of the Company be and are hereby altered in the manner following:

1. after article ...., the following article is inserted...............

2. Article ....., is deleted..

3. Article... , is altered as below.....
