Dear Quadir,
Firstly you have to decide that whether you want to work for subsidiaries Cos in India having its holding Cos in USA. In this case there is no probs as you have to make the Indian Law compliance only.
If you want to serve companies in USA, then you should well equip with US GAAP, Sox Compliance processes, and should have an ERP/SAP infrastructure to handle the clients business.
Most importantly, you should start establishing contact with USA client to get the business/clients.
