ODI form and APR form

Dear frnds,

Please tell me the difference b/w ODI form (part III) and APR form in FEMA.

Actually there is a Wholly Owned Subsidiary (WOS) abroad of our pvt. limited co. in India.

An annual performance report of WOS is to be submitted to RBI.  Kindly tell me the respective form to be submitted.

Also pls tell me where it is mentioned in FEMA about the same.

Dear Shridhi

The annual performance of your WOS in abroad is to be reported in Part III of Form ODI which is APR itself. The FAQs on ODI and instructions for ODI itself mention the same.

I too think so.

But there is another APR form. If u search for APR on google, its a 6-7 page form (pls see the attachment). Its different from ODI (part III) form.

Wats that ? and where it is mentioned in FEMA abt the same ?

I don't know from where you got the attachement. But the relevant regulation and form for overseas investnment is Form ODI which also contains the APR. Therefore I don't think any line of confusion. Please note I have been filing the APR for last three years and till date no comment from DAD or RBI is received.

Mr. Sudhir is right. Always take the from Master circular or from RBI site not from google.

Dear Shridhi

DAD means "Designated Authorised Dealer". Every overseas investment for any particular JV / WOS needs to be transacted thru duly applointed DAD only.

Agree with Sudhir. The attached APR form may be old. Currently only ODI (part III) form is being filed.

Your searched APR form is very old as the link does not contain word "FEMA" anywhere. Since July 7, 2004, Direct investments in JV / WOS abroad are governed by FEMA under regulation (Transfer and issue of foreign security) Reluations 2004. The Master circular is viewed every year with sunset clause of 1 Year. So, forget about your linked APR and file our advised APR without any confusion.
