THE ANNUAL FILING FOR THE YEAR 31.03.2014 IS TO BE DONE AS PER OLD COMPANIES ACT. AS PER SECTION 179(3) OF NCA 2013, WE HAVE TO FILE MGT-14 FOR APPROVAL OF BOARD REPORT & FINANCIAL STATEMENT. MY QUESTION HERE IS, IF THE ANNUAL FILING IS DONE AS PER OLD CA, 1956. DO WE HAVE TO FILE THIS RESOLUTION AS PER NCA?

As per New Companies Act Only you have to file

Dear Toor,
Though accounts pertaining to finanical year ended 31.03.2014 but section 117 and 179 are applicable with effect from 1.4.2014, hence it advisable to file extract of approval of accounts and directors report by board of directors in form MGT 14 with ROC within 30 days of meeting.
