Merger of an unlisted company into a listed company

Co Act 2013 295 views 1 replies

Section 232 (3)(h) of Companies Act, 2013 says that in a merger of a listed company into an unlisted company (surviving entity being the unlisted co.), the unlisted company remains unlisted unless it gets listed.

My question is: Whether in a merger of an unlisted company into a listed company (surviving entity being the listed co.), the listed company becomes unlisted automatically? Any provision to support your answer?

Thanks.

No..as listed company doesn't loose its listing status upon absorbing unlisted company..as either it issues it's share or cash to shareholder of unlisted Co.
