WHAT ARE THE FILING FORMALITIES WITH ROC ON PASSING THE BOARD RESOLUTION FOR INCREASE OF REMUNERATION (WITHIN THE LIMITS OF SCHEDULE XIII) OF MANAGING DIRECTOR AND OF CHAIRMAN?

REMUNERATION CLAUSE IN TERMS OF APPOINTMENT WAS " RS. 1,00,000 P.M. SUBJECT TO MAXIMUM LIMIT OF RS. 10,00,000/- P.A."

NOW WE WANT TO CHANGE IT AS " RS. 1,00,000 P.M."

CAN WE REQUIRE TO GIVE EFFECT THE INCREASE IN REMUNERATION FROM BEGINNING OF THE YEAR OR INCREASE CAN BE EFFECTED FROM 11TH MONTH (WHEN THE PAYMENT IS CROSSING THE LIMIT FIXED IN PREVIOUS RESOLUTION)

Whenever there is a variation in the terms of the terms of appointment of Managing Director,  Form 23 (Section 192) is required to be filed with ROC. Also an abstract under Section 302 is required to be sent to the shareholders of the Company.


Change in remuneration can be made from the 11th month. There is no such requirement that change has to be made in the beginning of the year only.
