Dear All,

Can private limited company issue shares on private placement basis under section 42 of the companies Act, 2013 without following section 62(1)(c) of Act??? are both section are independent or do private company need to follow the both sections.

Hi Prakash.... Section 42 is an independent section.....you will just have to follow this section and the concerned rules for private placement issue of shares.... However, if you are going for preferential issue, then certain provisions of sec 42 will apply.... Hopefully it is clear....
