one of my client have two director ,both are interested director.they want to appoint their relaive as managing directot.
my question is that whaether .how can they appoint wtd as both director are interested

They can initially discuss the agenda item in board meeting and call an EGM of members to pass the resolution w.r.t. the appointment of MD.
Those resolutions where all directors are needs to be passed in General Meeting.

but as per company act 2013,board are required to take note of appointment of KMP in board meeting.ho can it possible to do it if all director are interested
