Dear All,

As per section 149 of the companies Act, 2013, Schedule IV and rule made there under, all existing independent directors appointed under companies Act, 1956 who are liable to retire by rotation, need to be appointed for period of five consecutive years, who are not liable to retire by rotation under the above said provisions of new act.

my querry is that do the company need to file DIR-12 within thirty days from the date of AGM, if yes, whether it is appointment or change in designation since their names are already appearing on MCA view signatory details.

Dear Raj,

Proposed Directors should obtain DIN numbers, atleast one director should have DSC

Apply for reservation of name in form INC 1

within sixty days of obtaining name, file form INC 7, 22 and DIR 12 with concern ROC

After approval incorporation forms, file INC 21 for commencement of business.

After approval of INC 21, company can commence its business.

With reference to your question prakash, you don't have to file DIR 12 again if MCA is already showing their designation as ID....
