Hello everyone I need to create a Indian subsidiary company, Both Holding and Sub co are Indian company Please tell me the procedure for it . should i incorporate both company first and then make changes in moa ??

1)A company can become member of another company provided express power is given in the moa
2)a company cannot become a member of its own
3) a subsidiary company cannot hold shares in holding company
however where a subsidiary company had become the member of the holding company before it became the subsidiary company,it can continue to be a member in the holding company.butthe subsidiary company shall not have any voting rights in respect of shares held in the holding company
