As per section 4(5) (6) and (7) this "A" company becomes subsidairy of public company or not?
If yes would we file 25C for appointment of MD or not?

First Check whether as per Indian COmpanies Act. whether Japanease company if incorporated in India will be a Public Company.
If yes than JV Co. will be subsidiary of Public Company and Form 25C need to be filed for appt of MD within limit of Schedule XIII
