A private Company wishes to adopt an ESOP Scheme. As per the exemptions available to private companies, a Ordinary Resolution as per Section 62(1)(b) needs to be passed. I wanted to know if the Ordinary Resolution needs to be filed in ROC in Form MGT-14 ?
