Its a Form to apply to Central Government for their approval in case where the appointment/ re-appointment OR terms of appointment/re-appoinment for Managing Director/Whole-Time Director/Manager is not as per provisions of Companies Act, 1956. (refer Section 198,269,310 & 311 alongwith Schedule XIII of the Act)

It is a Form of application -to the Central Government -for approval of appointment or reappointment and - remuneration or increase in remuneration or waiver for excess or over payment to managing or whole-time director(s) or manager and commission or remuneration or -expression of opinion to directors
It is a form of an application to the Central Government where the approval of the Central Government is required for appointment of Managerial Personnel. Please refer Section 269 and Schedule XIII
