Does A Foreign company , - Starting a branch ofice as an UNINCORPORATED entity and permitted to do so by RBI under FEMA / FERA - , need to register with Registrar of Companies ?

Yes,under FEMA you have to obtain permission by filing Form FNC1.Further you have to file e-Form 44 to register with ROC Delhi.
