URGENT REPLY: A new pvt co. has appointed its first statutory auditors in BOD meeting. Is the co. required to intimate the ROC? If yes, which form. As per my knowledge, First auditor need not file form 23b.Is it true?? THANKS in advance...

there is no doubt in this....

if you read Sec. 224(1A), which clearly states that Auditor appointed under sub-sec. 1 should inform ROC within 30 days of his appointment.... and Sub-sec. 1 of Sec. 224 relates to Auditor appointed in AGM...

and as First Auditor is appointed in Board Meeting... not in AGM.... there is no question of Intimation to ROC.....

is there any reuirement to be fulfilled by that private limited co.?? Does it need to intimate ROC or any other body..about appointement of first auduitor??/

No Company is not required to intimate to ROC for the appointment of first Auditor.

Form 18 for situation of registered office what about this?

Yes incorporation fees can be shown as preliminary axpense

ENSURE THAT THE FORM 32 AND 18 ARE FILLED AT THE TIME OF INCORPORATION i.e before getting incorporation certificate.

ONCE YOU HAVE REGISTERED AS COMPANY YOU CAN NOT CLAIM ANY FEES PAID AS PRELIMINARY EXPENSES.
