Error in Closing Bank Account

Dear All,

I have come across a very strange error.

In one of the Company...Board has passed the resolution for closing of bank account..but same was not furnished to the bank...so according to the minutes of the company that account is closed but in actual bank account is still operative....and now management intends to close that account actully but now how it can be done....can board pass two resolution for the same bank account...or it should furnished the older one...then what about the date..as resolution for closing was pass in the year 2009...how to deal will the situation...??
