Draft board minutes where one director died

Hello,

the below resolution can be used:-

RESOLVED THAT the Board of Directors of the Company express their deep condolences at the untimely and sad demise of Mr. ............., Director of the Company on ........... and may his soul rest in peace.”

FURTHER RESOLVED THAT Mr. .......... be and hereby authorized to sign and file necessary Form 32 with Registrar of companies (ROC) and convey the company’s condolences to the family of ................, the deceased director.

Further,

The chairman placed before the board letter received from Mrs.X intimating that MR.X has expired.

The Board noted the same and recorded the deepest condolences and loss happened to the company due the death of Mr.X. Further the board has decided to intimate the roc towards cessation of Directorship.

RESOLVED THAT"mr.X ceased to be a director from ____ due to the death of MR.X".
Futher resoved that Form 32 shallbe digitally signed by Mr._________ and shall file with ROC.


The Chairman informed the board the necessity of appointing a director replacing Mr.X. Further informed the board that MRS.X will be the right person and she is willing to accept the directorship if awarded and to that effect letter given by Mrs.X has been placed before the board.

The Board has decided to appoint Mrs.X and passed the following resoulution.

RESOLVED THAT' MRS.X Will be co-opted as additional director to hold office until the next annual general meeting"

FURTHER RESOLVED THAT'mr.___ Will be authorised to sign digitally form 32 and to submit the same to ROC."
