Director of pvt. ltd. having din no. can be employee again?

I am holding an Pvt. Ltd. firm. i have a Pvt. Ltd Company. There are 2 Director having DIN NO. No Other employee left. As company going in losses, In this case, can we both work as a employee in some other company. Other company can give us salary official?

Or do we need close previous company first then move forward? but keeping in mind that we don't have fund for service tax to over come this? 

Please help....
