One director of our company not attending the board meetings last three years. What is the procedure for removing the director from our board. please give me the specimen resolution for removing the director for the above reason. whether he is removed through board or general meeting. Please help me

Check 283(1)(g) for automatic vacation of director office for not attending the board meeting as per the current attendance status of director. If this clause is applicable in your case then this would be a case of automatic vacation of office and you don’t need to pass any formal resolution for removal of director.
Simply file form-32 for vacation of office.
