Please Guide regarding Form DIR-3 shall be verified digitally by a Company Secretary in full time employment of the company or by the Managing Director or Director or CEO or CFO of the existing company in which the applicant is intended to be appointed as a director.
but after DIN approval, management do not appointed him/her as director, so could be any legal action by din authority on Company or Director who verified the DIR-3?
Please help me.

If your minutes are showing resolution is not passed thn there is no harm. if your minutes are silent about resolution of appointment then yes roc can take legal action
