Hi, Can somebody give me the procedure for issue of unsecured debentures by a pvt. company?

Procedure:
1) Check MoA, AoA
2) After being satisfied and the receipt of money, pass necessary resolutions (Board or Members/Shareholders resolution) for allotment. Normally Board has the power.
3) Issue certificate and pay stamp duty.
4 ) Assumption is that the debentures are issued to an Indian Co.
