What resolution is to be passed at the time of implementation of CSR u/s 135 ???
Should the resolution so passed be informd to any authority ???

I DONT THINK RESOLUTION NEEDS TO BE PASSED AS THIS IS STATUTORY REQUIERMENT FOR THE CONCERNED COMPANY.
STILL WAIT FOR OTHERS TO REPLY.
Though D act does not say anything regarding resolution
When it comes to a company anything & everything requires resolution & approval rite ???
I think the constitution of CSR comittee requires passing of resolution

Yes Constitutuion of the CSR Committee does requires a resolution to be passed at the Board Meeting alongwith the Structure of Committee to be put across the Board along with the Budget for the Financial Year.
