COMPANIES ACT 1956

According to section 25, "Companies whose liabilities are not limited are probhited from using the word 'Limited'.

My question is :

Can a co. be registered with limited liability without the word 'Limited'???

Plz. mention  relevant section also, i have to submitt an assighment on that.

As per section 25 of the Companies Act, 1956 any association desirous of being incorporated as a company with limited liability, without the addition of word "Limited" or the words "Private Limited" as the case may be shall make an application in writing to the Central Government on behalf of such company/proposed company as the case may be, for grant of licence under section 25.

 

So answer of your question would be YES. As per Section-25 of the Companies Act, 1956 a Company can be registered with limited liability without the word 'Limited'.

Solve with the help of case Laws, the following questions:

(A) A company for the financial year 2008-09 declared the dividend on 19th sep.2009 and fail to distribute the same within the prescribed period.A non executive director who was resigned on July 2009 was also implicated in a court of law along with the company and other directors.The que. is whether a resigned non executive director can be vicariously liable for the failure on the part of the company to declare dividend?

(B) A house is allotted to MD of the company.After the death of MD,the house was occupied by his legal heirs.The company demanded the house from the legal heirs of  MD.Whether the company will be successful?
