Failure to notify the RoC of an alteration of share capital within 30 days results in a penalty under Section 64 of the Companies Act, 2013. The company and every officer in default are liable to pay a penalty of ₹1,000 for each day the default continues, subject to a maximum cap of ₹5 lakh.
