Hi All,
Can we pass a circular resolution if we have all the directors (of a pvt ltd co.) who are non-residents (residing abroad) and have no usual address in India?

No reffer sec. 289 it clearly says that the address of directors shold be in India
Agree. Compliance of 289 is a bit difficult in your case.
