Circular resolution under companies act

No reffer sec. 289 it clearly says that the address of directors shold be in India

Agree. Compliance of 289 is a bit difficult in your case.

The Solution to ur problem is very easy.

Hold the Board meeting outside the India, as there is no restriction on the same.

Pass the resolution in that Board meeting. Thats all.
