PROCEDURE FOR APPOINTMENT OF MANAGING DIRECTOR
- Convene a board meeting for appointment of managing Director and Notice issue to members for general meeting conduct in this regard.
- Convene a General meeting for appointment of the Managing Director has approved by the members.
- Ensure that Compliances of Schedule-XIII, such as tenure, salaries, age, if already managing director in another company and other amenities.
- Declaration obtains from applicant under schedule-XIII and section 267 of the Companies Act, 1956
- Consent letter obtain from managing director
- File an e-Form-25C (Copy of board resolution is mandatory, declaration is optional but it strongly recommended for secretarial standard)
- File an e-Form-32 (board resolution and consent letter are mandatory attachments)
- Approval from Central Government (If required)
- Note. The above procedure applicable only the paid-up capital of the company is more than five Crores. (Public or subsidiary of public company).
