Dear All,
Please let me know if a Nominne Director can be a member of any of the Committees that are part of Corporate Governance (Audit / Stakeholders / Remunberation / CSR), considering that the Nominne Director is termed as a Non-Executive Non-Independent Director.
If he cannot, please enumerate the Section of Companies Act 2013 where it is specified such.

Nothing in section 177, 178 of the Companies Act, 2013 & Rule 6 of the Companies (Meetings of Board and its Powers) Rules, 2014 prohibits a Nominee Director from being a member of any of the Committees. In my opinion a Nominee Director can be the members of any of the Committee that are part of Corporate Govarnance, provided composition of the Committee's are in line with Section 177(2) and 178(1) of the Companies Act, 2013.
