To decide a resolution as special Resolution, which 75.01% we must consider?

Whether 75.01% of present members at meeting or 75% of Total no of members as per Register of members?

I think you misunderstood clause (c) of sub-section (2) of section 114.I recommend you to first read the provision given under.

the votes cast in favour of the resolution, whether on a show of hands, or electronically or on a poll, as the case may be, by members who, being entitled so to do, vote in person or by proxy or by postal ballot, are required to be not less than three times the number of the votes, if any, cast against the resolution by members so entitled and voting.

It is 75% and not 75.01%.

And the answer to your second question is "members present at the meeting"

members present at the meeting also includes proxies as well as members who have voted electronically.
Yeah I read it and knew it. Thank you for answer. There is no 2nd question in my query.

Members present at meeting is answer to my query. Thank you for that
