Our company wants to replace OLD Share certificates with New Share certificates. Rule 4(2) of the Companies (Issue of Share Certificates) Rules, 1960 provides that it can be done by a Board Resolution.
I need Board Resolution in respect of replacement of share certificate as per Rule 4(2) i,e. to bring back old share certificates and to issue new share certificates.
You need board resolution for issue of new certificates in respect of splitting/consolidation or defaced/torn out.
@ Sneha, I need a relolution to replace old Certificates with Fresh New Certificates.....; Board wants to destroy all old shares Certificates and issue new ones.
